Welcome to https://stampedesupplies.com (the "Site"), owned and operated by Stampede Distribution, doing business as Stampede Supplies ("Company," "we," "us," or "our"). Stampede Distribution is a restoration and environmental supply distributor headquartered in Grand Prairie, Texas.

These Terms of Service ("Terms") govern your access to and use of the Site, including any content, functionality, and services offered on or through the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

01Acceptance of Terms

By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using this Site on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

02Eligibility

This Site and our products and services are intended for use by businesses, contractors, and professionals in the restoration, environmental remediation, and related industries. You must be at least eighteen (18) years of age and have the legal capacity to enter into binding agreements to use this Site. By using this Site, you represent and warrant that you meet these eligibility requirements.

03Business-to-Business Relationship

Stampede Distribution primarily operates as a business-to-business ("B2B") distributor of restoration and environmental supplies, tools, equipment, personal protective equipment (PPE), chemicals, and related products. Our products are intended for professional and commercial use. We do not sell directly to individual consumers for personal, household, or family use.

By placing an order or establishing a business account with us, you represent that you are purchasing products for business or professional purposes and not for personal consumer use. Consumer protection statutes that apply exclusively to consumer transactions may not apply to transactions conducted under these Terms.

04Products & Services

We distribute restoration equipment, environmental supplies, personal protective equipment, tools, chemicals, containment materials, sorbents, and related products from industry-leading manufacturers. Product descriptions, specifications, images, and availability displayed on the Site are provided for informational purposes and are subject to change without notice.

• We make reasonable efforts to accurately display product information but do not warrant that descriptions, pricing, images, or other content on the Site is accurate, complete, reliable, current, or error-free.
• Product availability is subject to change and may vary by region. Not all products displayed on the Site may be available for immediate delivery.
• We reserve the right to limit quantities, discontinue products, or refuse any order at our sole discretion.
• Certain products may be subject to manufacturer restrictions, regulatory requirements, or licensing obligations. It is your responsibility to ensure compliance with all applicable laws and regulations governing the purchase, use, storage, handling, and disposal of products purchased through us.

05Ordering, Pricing & Payment

Orders may be placed through the Site, by phone at 214.235.0721, or by email at [email protected]. All orders are subject to acceptance by Stampede Distribution.

• Pricing: All prices are quoted in U.S. dollars. Prices are subject to change without prior notice. Published prices do not include applicable taxes, shipping, handling, or delivery charges unless expressly stated.
• Taxes: You are responsible for all applicable federal, state, and local taxes, including Texas sales and use tax, unless a valid exemption certificate is on file with us.
• Payment Terms: Payment terms for established business accounts will be set forth in a separate credit application or account agreement. All invoices are due net per agreed terms. We reserve the right to charge interest on overdue balances at the maximum rate permitted by the Texas Finance Code.
• Order Confirmation: Submission of an order constitutes an offer to purchase. We may accept or reject orders at our discretion. An order is not binding until we issue a written confirmation or ship the products.
• Errors: We reserve the right to correct any errors in pricing, product descriptions, or availability, and to cancel or refuse any order placed based on incorrect information, even after confirmation.

06Shipping & Delivery

We ship from our distribution facilities in the Dallas-Fort Worth metropolitan area and through partner logistics networks. Delivery timelines are estimates only and are not guaranteed unless expressly stated in a written agreement.

• Risk of loss and title to products pass to you upon delivery to the carrier (FOB Shipping Point), unless otherwise agreed in writing.
• We are not liable for delays in delivery caused by carrier issues, weather, natural disasters, acts of God, labor disputes, government actions, or other events beyond our reasonable control.
• You are responsible for inspecting all shipments upon receipt and reporting any damage, shortages, or discrepancies within forty-eight (48) hours of delivery.
• Shipping charges are the responsibility of the buyer unless otherwise agreed. Expedited or special shipping requests may incur additional charges.

07Returns, Refunds & Warranties

Returns and refunds are subject to the following policies:

• Return Authorization: All returns require prior written authorization (RMA) from Stampede Distribution. Unauthorized returns will not be accepted.
• Return Period: Eligible returns must be initiated within thirty (30) days of delivery, unless a different period is specified in your account agreement.
• Condition: Products must be returned in their original, unopened, undamaged packaging and in resalable condition. Chemicals, hazardous materials, custom orders, cut-to-length products, and electrical items that have been energized are non-returnable.
• Restocking Fee: A restocking fee of up to twenty percent (20%) may apply to approved returns.
• Manufacturer Warranties: Many of the products we distribute carry manufacturers' warranties. We will assist you in processing warranty claims with the applicable manufacturer. Stampede Distribution does not independently warrant products manufactured by third parties.
• Disclaimer: EXCEPT FOR WARRANTIES EXPRESSLY STATED HEREIN OR IN A SEPARATE WRITTEN AGREEMENT, ALL PRODUCTS ARE PROVIDED "AS IS" AND STAMPEDE DISTRIBUTION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY THE TEXAS BUSINESS & COMMERCE CODE.

08Use of the Site

You agree to use this Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, or local law or regulation, including the laws of the State of Texas.
• Transmit or procure the sending of any advertising or promotional material without our prior written consent, including "junk mail," "chain letters," "spam," or similar solicitations.
• Impersonate or attempt to impersonate Stampede Distribution, a Stampede Distribution employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or that may harm Stampede Distribution or users of the Site.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Reverse engineer, decompile, or disassemble any software or technology used in connection with the Site.

09Intellectual Property

The Site and its entire contents, features, and functionality, including but not limited to all text, graphics, logos, icons, images, audio clips, data compilations, software, and the design, selection, and arrangement thereof, are owned by Stampede Distribution, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Stampede Distribution name, Stampede Supplies name, the Stampede logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stampede Distribution or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

Third-party manufacturer names, brand names, product names, and logos displayed on this Site are the property of their respective owners and are used solely for the purpose of identifying the products we distribute. Their use does not imply endorsement of Stampede Distribution by those manufacturers.

10Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE TEXAS CIVIL PRACTICE AND REMEDIES CODE:

• IN NO EVENT SHALL STAMPEDE DISTRIBUTION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS.
• STAMPEDE DISTRIBUTION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO STAMPEDE DISTRIBUTION IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
• THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STAMPEDE DISTRIBUTION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11Indemnification

You agree to defend, indemnify, and hold harmless Stampede Distribution, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; or (e) the use, handling, storage, transportation, or disposal of any products purchased through Stampede Distribution.

12Hazardous Materials & Regulatory Compliance

Certain products distributed by Stampede Distribution may be classified as hazardous materials under federal, state, or local regulations, including but not limited to the Occupational Safety and Health Act (OSHA), the Environmental Protection Agency (EPA) regulations, the Texas Commission on Environmental Quality (TCEQ) rules, and the Department of Transportation (DOT) hazardous materials transportation regulations.

• You are solely responsible for the proper handling, use, storage, transportation, and disposal of all products in compliance with all applicable laws and regulations.
• Safety Data Sheets (SDS) are available upon request for applicable products. You agree to review and comply with all SDS and product safety information before using any product.
• You represent and warrant that you hold all necessary licenses, permits, and certifications required to purchase, possess, use, and dispose of products ordered from Stampede Distribution.
• Stampede Distribution is not liable for any injuries, damages, contamination, environmental harm, or regulatory penalties resulting from your improper use, handling, storage, or disposal of products.

13Force Majeure

Stampede Distribution shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquakes, hurricanes, tornadoes, severe weather, war, terrorism, riots, civil unrest, government actions, embargoes, sanctions, labor disputes, strikes, supply chain disruptions, transportation delays, utility failures, cyberattacks, or failures of third-party systems or services.

14Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule.

• Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Tarrant County, Texas or Dallas County, Texas for the resolution of any dispute arising under or in connection with these Terms.
• Informal Resolution: Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of not less than thirty (30) days after written notice of the dispute is provided.
• Waiver of Jury Trial: TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING UNDER OR IN CONNECTION WITH THESE TERMS.
• Attorneys' Fees: In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees, costs, and expenses from the non-prevailing party, as permitted under the Texas Civil Practice and Remedies Code.

The Site may contain links to third-party websites, including manufacturer websites, vendor portals, and industry resources. These links are provided for your convenience only. We have no control over the content, privacy policies, or practices of third-party websites and assume no responsibility for them. Your use of any third-party website is at your own risk and subject to that website’s terms and conditions.

16Modifications to Terms

We reserve the right to revise and update these Terms at any time in our sole discretion. All changes are effective immediately when posted on the Site and apply to all access to and use of the Site thereafter. 17Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

18Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements executed between you and Stampede Distribution (including credit applications, account agreements, and purchase orders), constitute the sole and entire agreement between you and Stampede Distribution regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

In the event of a conflict between these Terms and a separate written agreement executed between you and Stampede Distribution, the terms of the separate written agreement shall control to the extent of the conflict.

19Waiver

No waiver by Stampede Distribution of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Stampede Distribution to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
